we are looking for a Post Merger Integration Counsel (PMI) that will be responsible for leading the legal aspects of the integration process following mergers, acquisitions, or other significant corporate transactions. This role involves managing the legal, regulatory, compliance, and contractual requirements necessary to seamlessly merge new targets into the group. The PMI Counsel will work closely with internal teams (Legal, Finance, HR, IT, Product, Marketing, Sales, etc.) and external counsel to ensure a smooth and legally sound transition, helping to protect the interests of the combined entity.
The Post Merger Integration (PMI) Counsel will report to the Chief Legal Officer
IN THIS POSITION YOU WILL:
Identify and manage legal risks and regulatory requirements associated with integration, ensuring compliance with local, national, and international laws.
Oversee and assess the integration of contracts, licenses, and agreements of new acquired targets.
Identify, renegotiate, or terminate contracts as needed to optimize post-merger operations.
Advise on and help implement post-merger corporate governance structures, ensuring appropriate board structure, policies, and controls.
Assist in managing corporate filings, updates, and necessary legal documentation to reflect changes post-merger.
Identify and address potential legal risks arising from cultural, operational, and structural differences between merging entities.
Proactively work with internal teams to develop risk mitigation strategies, including policies, protocols, and training.
Oversee the transfer and protection of intellectual property, data assets, and technology, ensuring adherence to relevant privacy, data protection, and IP laws.
Facilitate legal support for data integration and systems migration with cybersecurity considerations in mind.
Partner with departments such as HR, IT, Finance, Sales, Marketing and Operations to support integration and alignment with overall business strategy.
Provide regular updates and reports to senior leadership on integration progress, potential legal issues, and ongoing PMI efforts.
Engage with external counsel, consultants, and other key stakeholders as needed to facilitate a smooth integration.
Support efforts to align corporate cultures, employee policies, and organizational values to foster a cohesive workplace post-merger.
Contribute to initiatives aimed at enhancing employee engagement and retention throughout the integration process.
Requirements: A qualified lawyer in Israel.
5+ years of experience in corporate law, with a strong background in integrations and M&As.
Previous experience in post-merger integration roles, ideally within a corporate legal department or as outside counsel.
Excellent communication and organizational skills.
Ability to work effectively in a fast-paced, high-stakes environment.
Strong analytical and problem-solving skills with attention to detail.
